• Workflow automation solutions
• Custom AI integrations and solutions
• Voice AI and conversational AI systems
• Business process automation consulting

The specific scope of services will be defined in individual service agreements or statements of work between you and the Company.

When you create an account with us or engage our services, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your contact information remains current and accurate

Payment terms for our services are as follows:

• Fees and payment schedules will be specified in individual service agreements
• All fees are quoted in US dollars unless otherwise specified
• Payment is due according to the terms specified in your service agreement
• Late payments may be subject to interest charges and/or suspension of services
• You are responsible for all applicable taxes associated with the services

You agree not to use our website or services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, offensive, or objectionable content
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Engage in any activity that could damage our reputation
• Use our services for any illegal or unauthorized purpose

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This includes business strategies, technical information, customer data, and any other information designated as confidential. This obligation survives the termination of any service agreement.

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

To the maximum extent permitted by applicable law, USciber LLC and its officers, directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Any matter beyond our reasonable control

Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless USciber LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of a third party.

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use our services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Henrico County, Virginia, in accordance with the rules of the American Arbitration Association.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and USciber LLC regarding our services and supersede all prior agreements and understandings, whether written or oral.
